FDS Constitution & Member Agreement

Chapter 1: Nature of FDS

Article 1

FDS is a non-profit game development team. All profits are used to maintain daily organizational activities. It was co-founded by game enthusiasts and is currently managed by the FDS Management Group.

Article 2

FDS was established on February 2, 2017, and rebuilt on March 30, 2022. The highest governing body of FDS is the FDS Production Committee.

Article 3

FDS has subordinate organizations with profit-generating departments, but profits are not directly linked to FDS. Subordinate organizations have independent regulations and financial policies but must contribute a portion of profits to support FDS’s basic operations as a non-profit organization.

Article 4

The official FDS website is https://fds.moe, and the documentation site is https://doc.fds.moe. These are the only official channels for obtaining internal documents.

Article 5

In case of conflict between translated versions, the Simplified Chinese version shall prevail.

Chapter 2: FDS Members

Article 6

FDS members are essential components of FDS. Members have the right to participate in FDS activities and receive development rewards, along with the responsibility to participate in development and maintain a positive organizational environment. Members must comply with FDS global regulations, subsidiary regulations, and rules within projects/group chats.

Article 7: FDS Accounts

All FDS members can obtain an electronic FDS account and use the MyFDS system (from June 15, 2025). Accounts will be frozen upon loss of FDS membership.

FDS-operated internal websites (e.g., Code FDS - code.fds.moe) must not allow external registration without administrator approval to ensure data security. Approval will generally not be granted without special reasons.

Accounts must not be shared with others. If an FDS member operates an account on behalf of another member, the account owner bears all risks. Sharing accounts with non-members is strictly prohibited.

Detailed FDS account usage rules will be established later.

FDS products should provide MyFDS login options where possible and grant additional permissions to active members.

Article 8: Member Participation in Management

Members have the right to participate in organizational management. Specific methods will be discussed when active membership reaches 20+.

Article 9: Other Member Rights

  • Right to a fair and non-harmful communication environment
  • Right to transparent access to FDS policies and financial information
  • Right to use official FDS accounts (including forums, NetEase) to publish works according to rules

Chapter 3: Member Responsibilities

Article 10: Basic Member Guidelines

FDS group chats include internal groups (general development/chat) and project groups. Internal groups have relatively relaxed management with minimal rules.

FDS members are strictly prohibited from malicious acts against any FDS subordinate individuals/groups:

  • Malicious acts refer to intentional actions causing harm, not unintentional ones
  • Harm to individuals includes but isn’t limited to: disclosing personal information without consent, verbal attacks
  • Harm to organizations includes but isn’t limited to: disrupting order, random member recruitment
  • Malicious acts require: (1) Direct causal relationship between act and victim’s loss, (2) Victim’s acknowledgment of violation
  • Subjective intent must be proven by sufficient evidence chain; presumption of innocence applies
  • Violations of explicitly prohibited acts are treated as malicious acts

Article 11: Obtaining Membership

Membership is granted after passing FDS review with approval from District Manager+ members, or via special approval from Global Administrators/Committee members.

Article 12

All full memberships are valid for 2 years by default. Current members may renew unconditionally during May/November membership registration. Exceptions:

  • Honorary position holders (Honorary Manager/Artist)
  • Former Global Administrators+

Temporary memberships expire automatically. Obtaining full membership requires meeting new member standards.

Article 13: Membership Revocation

Membership will be revoked for severe violations of FDS/subgroup/department regulations (including this document), or at member’s request.

Article 14

Members must agree to and comply with project-specific copyright policies. Unless otherwise specified, the FDS Default Copyright Agreement applies:

Article 15: Other Member Responsibilities

  • Not infringing others’ rights to fair communication environments
  • Not damaging FDS’s reputation
  • Balancing real-world work/studies (for non-full-time members)

Chapter 4: Organizational Structure

Article 16: Subordinate Organizations

  • Subgroups: FDS-managed project development organizations with diverse natures. Have independent financial/regulatory systems. Include subordinate departments/companies.
  • Subsidiary Companies: Profit-oriented companies controlled by subgroups. Financial/regulatory policies involve controlling organizations.
  • Departments: FDS-direct departments or subgroup/company departments. FDS-direct departments are non-profit.

Different rules apply across groups/departments; subgroup/department rules prevail within groups.

Article 17: Member Roles

  • Administrator #00B0F0 Light Blue
    Committee members appointed by FDS Production Committee. Form the highest management group. Must sign agreements as consensus-bound actors.
  • Administrator Assistant #92D050 Light Green
    Assists administrators with management duties.
  • District Manager #7030A0 Dark Purple
    Members with project management authority.
  • Regional Manager #8E2323 Brick Red (Subgroup role, assigned by District Manager/Admin Assistant)
    Members granted project management authority by project management groups.
  • Subordinate Manager
    Other necessary management positions established by District/Regional Managers.
  • Committee #FF9999 Pink
    FDS Production Committee. Includes Redstone and Jiuyuan.

Article 18: Honorary Roles

  • Artist #FF0000 Pure Red
    Members with exceptional contributions to FDS.
  • Honorary Manager #FF0000 Pure Red
    Management group members with exceptional contributions to FDS.

Article 19

Administrators hold highest executive authority. Committee holds highest decision-making authority.

Article 20

For roles above Regional Manager: Spouses/partners cannot hold same position in same subgroup/department or have identical roles.

Article 21

All members of FDS-direct departments/subgroups must hold FDS membership. Management members of other departments/subgroups must hold FDS membership. Other personnel may optionally hold membership.

Article 22

FDS subsidiaries must have ≥52% total control held by two FDS management members, with no single member holding <15%. Control must be transferred if holder leaves FDS management.

Article 23

Attempts to separate FDS projects/companies or instigate internal divisions are prohibited.

Chapter 5

Article 24

Joining FDS or its projects signifies reading, agreeing to, and accepting penalties for non-compliance with this agreement.
